ARTWORK COMMISSION AGREEMENT

1. Commission

Music Artist shall commission Creator to create the Work, which, as a “Work For Hire” shall owned by Music Artist. Creator agrees to create and deliver to Music Artist the completed Work and thereafter

2. Fee

In consideration of Artist carrying out the Project, Music Artist shall pay to Creator the Fee (receipt of which is hereby deemed). Creator shall have no rights or claims against Music Artist for revenues or ownership or control of the Work other than the Fee.

3. Rights

3.1 Creator hereby assigns to Music Artist (by way of present and/or future assignment) all right, title and interest in and to the Work. Creator Further waives any and all so-called Moral Rights against Music Artist and/or Music Artist’s licensees and assigns. For the avoidance of doubt, Music Artist may provide a credit to Creator (in the form of “[Work] by [Creator]” but Creator shall have no right to require any credit in relation to any use of the Work.

3.2 Creator warrants and represents that the Work is entirely the original work of Creator, shall not infringe any third party rights and shall not be defamatory of any person or legal body. Creator shall indemnify Music Artist against any loss incurred as a result of a breach by Creator of this Agreement.

4. General

4.1 If any clause or any part of this Agreement shall for any reason be adjudged by any court or other legal authority of competent jurisdiction to be invalid or unenforceable in any part of the world, such judgement shall not affect the validity or enforceability of the remainder of this Agreement or affect the application of that clause or part in any part of the world where such clause or part is not invalid or unenforceable.

4.2 Nothing herein shall create any partnership, company, fiduciary or other professional or employment relationship between the parties or otherwise.

4.3 Termination of this Agreement shall not release either party from any of its obligations hereunder which are intended to have a continuing effect.

4.4 This Agreement shall be construed according to English Law and the parties agree to the non-exclusive jurisdiction of the English Courts.
